Alejandro Maher practices in the areas of corporate, securities, real estate and intellectual property law. Prior to joining Frigon Maher & Stern, Mr. Maher spent 12 years working at prominent New York and California-based law firms. Mr. Maher has represented numerous companies in a diverse range of industries. He currently represents more than 50 private companies in the U.S. and internationally.

Mr. Maher’s practice includes representing emerging growth and small and mid-sized companies in public and private offerings of equity and debt securities, M&A deals, venture capital financings, technology transactions and executive compensation matters. He has extensive experience working with individual investors, entrepreneurs and emerging growth companies, often getting involved at the initial stage of the business and helping guide the founders through the formative early stages of the company’s development. He also advises boards of directors and senior management on corporate governance and fiduciary duties, SEC disclosure requirements, board composition and procedures, stock exchange requirements and regulatory compliance. Additionally, Mr. Maher is experienced in structuring and drafting numerous types of commercial contracts.

Mr. Maher’s capital markets and securities practice includes representing companies in private and public offerings of equity and debt securities, secondary offerings, tender and exchange offers and consent solicitations. His practice also includes the preparation of periodic and current SEC reports, proxy solicitations and matters related to stockholder meetings. Mr. Maher also advises clients with respect to real estate matters, including acquisitions and divestitures, commercial leasing and structured finance transactions, and represents Latin American and European companies in cross-border transactions.

Charter Communications, Inc. in its offer to exchange certain debt securities and an offering of 85 million shares of Class A common stock;

Motricity, Inc. in its initial public offering of 5 million shares of common stock;

Solutia Inc. in its offering of $300 million high-yield senior notes and secondary offering of common stock;

The Boeing Company in its offering of senior notes;

Constellation Energy Group, Inc. in its $700 million offering of zero-coupon senior notes;

Citadel Broadcasting Corporation in its tender offer of certain debt securities Molson Coors Brewing Co. in its tender offer of certain debt securities;

Deutsche Bank in a $1.3 billion debt offering by El Paso Corporation;

TeleTech Holdings, Inc. in an offering by certain selling stockholders of 5 million shares;

Avis Budget Group, Inc. in its offering of convertible senior notes;

Nexstar Communications, Inc. in its $35 million offering of debt securities Morgan Stanley, Deutsche Bank and Royal Bank of Canada in the initial public offering of 38 million shares of common stock of Smart Technologies, Inc.;

Jefferies & Company in the offering by certain selling stockholders of 6 million shares of EnerSys; and

Lehman Brothers in an offering by certain selling stockholders of 6 million shares of EnerSys.

Representative Cross-Border Transactions:

Tender and exchange offer and related debt restructuring of a Colombian telecommunications company;

$200 million offering of high-yield debt by Panamanian energy company;

$250 million offering of convertible debt by a Brazilian energy company Initial public offering of a Brazilian real estate company;

Secondary equity offering of a Brazilian mining company;

Stock sale of a Guatemalan and Costa Rican food company to Wal-Mart International; and

$200 million offering of senior notes by a Brazilian insurance company.
